Welcome to Hauseora. These Terms of Service ("Terms") govern your access to and use of the Hauseora platform, including our website, applications, and all related services (collectively, the "Service"), operated by Gold Bird INC ("Company," "we," "us," or "our"), a company headquartered in Boca Raton, Florida.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Hauseora is a property management platform designed for homeowners and estate managers. The Service provides tools for managing properties, tracking maintenance tasks, coordinating vendors, storing documents, and organizing household operations across one or more residences.

The Service is provided as a software-as-a-service (SaaS) product accessible through web browsers and, when available, mobile applications.

2. Account Terms

To use the Service, you must create an account. When you do, you agree to the following:

• You must be at least 18 years of age.
• You must provide accurate, complete, and current information during registration and keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately if you become aware of any unauthorized use of your account.
• You may not share your account with others or allow multiple people to use the same login, unless the Service explicitly supports team or household member accounts under your plan.

3. Subscription & Billing

Hauseora offers both free and paid subscription plans. The features and limitations of each plan are described on our pricing page.

• Free Plan. You may use the Service with limited functionality at no charge. We reserve the right to modify the scope of the free plan at any time.
• Paid Plans. Paid subscriptions are billed on a recurring basis (monthly or annually, depending on your selection) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on each billing cycle.
• Price Changes. We may change subscription pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle after the notice period.
• Cancellation. You may cancel your paid subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for unused time within a billing cycle.
• Failed Payments. If a payment fails, we may suspend access to paid features until the payment issue is resolved. We will notify you by email before any suspension.

4. Acceptable Use

You agree to use the Service only for its intended purpose and in compliance with all applicable laws. You may not:

• Use the Service for any illegal, fraudulent, or unauthorized purpose.
• Attempt to gain unauthorized access to any part of the Service, other users' accounts, or systems connected to the Service.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Scrape, crawl, or use automated tools to extract data from the Service without our written permission.
• Interfere with or disrupt the integrity, performance, or availability of the Service.
• Upload or transmit viruses, malware, or other harmful code.
• Use the Service to store or transmit content that is defamatory, obscene, or violates the rights of others.
• Resell, sublicense, or redistribute the Service to third parties without our written consent.

5. Intellectual Property

The Service, including its design, features, code, documentation, trademarks, and all related materials, is owned by Gold Bird INC and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the term of your subscription.

Nothing in these Terms transfers any ownership of the Service or its underlying technology to you.

6. Your Data & Content

You retain full ownership of all data, content, documents, images, and information you upload to or create within the Service ("Your Content"). We do not claim any ownership rights over Your Content.

By using the Service, you grant us a limited license to host, store, process, and display Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or close your account.

You are responsible for ensuring that Your Content does not violate any third-party rights or applicable laws. We are not obligated to monitor Your Content but reserve the right to remove content that violates these Terms.

7. Third-Party Integrations

The Service may allow you to connect third-party services such as calendar applications (Google Calendar, Microsoft Outlook) or payment processors. These integrations are optional and governed by the respective third party's terms and privacy policies.

We are not responsible for the availability, accuracy, or practices of any third-party service. You connect third-party services at your own discretion and risk.

8. Termination

You may close your account and stop using the Service at any time by contacting us or through your account settings.

We may suspend or terminate your access to the Service if:

• You violate these Terms or any applicable law.
• Your account has been inactive for an extended period (we will notify you before any such action).
• Continued provision of the Service to you is no longer commercially viable.

Upon termination, your right to use the Service ends immediately. We will make reasonable efforts to allow you to export Your Content before deletion, subject to applicable law.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.

Hauseora is a management tool. It does not provide legal, financial, insurance, or professional advice. Any decisions you make based on information stored in or provided by the Service are your own responsibility.

We do not guarantee the accuracy, reliability, or completeness of any information provided through the Service, including vendor information, maintenance schedules, or document storage.

10. Limitation of Liability

To the maximum extent permitted by law, Gold Bird INC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, property damage, or personal injury, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Gold Bird INC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Service and close your account.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Palm Beach County, Florida.

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us. We will work in good faith to reach a resolution within 30 days.

14. General Provisions

• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gold Bird INC regarding the Service.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
